    1. Acceptance of Terms

    By accessing or using the services provided by Clearframe ("we", "our", or "us") via Clearframe.uk or any associated platforms, you agree to be bound by these Terms of Service. These terms apply to all clients, including those in the United Kingdom, the Republic of Ireland, and internationally. If you do not agree to these terms, please do not use our services.

    2. Description of Services

    Clearframe provides digital growth services, including but not limited to website development, CRM implementation, automated marketing systems, and related consulting services. The specific services provided to you will be outlined in your chosen package or a separate Statement of Work (SOW).

    3. Client Responsibilities

    To ensure the successful delivery of our services, you agree to:

    • Provide accurate and complete information required for the project.
    • Respond to requests for feedback or approvals in a timely manner.
    • Ensure you have the rights to any materials (images, text, logos) you provide to us for use in your project.
    • Comply with all applicable local, national, and international laws in connection with your use of our services.

    4. Fees and Payment Terms

    Fees for our services are set out on our website or in a custom proposal. Subscription services are billed on a recurring monthly basis. All payments are processed securely via our third-party payment processors (e.g., Stripe). We reserve the right to suspend or terminate services if payments are not received on time.

    5. Intellectual Property

    Upon full payment of all applicable fees, you will own the rights to the final deliverables created specifically for your business (e.g., website content, custom graphics). However, Clearframe retains ownership of any underlying code, frameworks, pre-existing templates, and proprietary CRM systems used to build or host your project. You are granted a non-exclusive, non-transferable license to use these underlying elements as part of the delivered service.

    6. Limitation of Liability

    To the maximum extent permitted by law, Clearframe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our services.

    7. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of England and Wales. While we welcome and serve clients from the Republic of Ireland and globally, any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
